NDDH2024

1. Acceptance of Terms

1.1 NDDH2024, an international competition accessible through its Portal, is available to individuals of legal age to form a binding contract and not barred from participation by the laws of India or any applicable jurisdiction. Your use of this site constitutes acceptance of these Terms, effective immediately upon agreement. NDDH2024, acting through its Organising Committee, reserves the right to amend these terms and conditions at any time by posting changes on the NDDH2024 Portal.

 

1.2 To access the information and services provided on the NDDH2024 Portal, you must provide accurate and current contact details and other required information during the registration process. You agree to furnish precise particulars on any online forms available on the Portal.

 

1.3 You are responsible for safeguarding the confidentiality of your password and liable for all activities conducted through your account.

 

1.4 It is your responsibility to regularly review posted information online to stay informed of any changes. NDDH2024 does not undertake to inform you of alterations to the Portal or the Terms. Your continued usage of the site following changes posted on the Portal constitutes acceptance of the modified Terms.

 

1.5 Participants are granted access to the NDDH2024 Portal for the purpose of participating in the competition. NDDH2024 does not provide computational services or access to software. Participants are permitted to utilize open-source or freely available software, as well as institutional services, for their research.

 

2. Participant Responsibilities

2.1 You acknowledge and agree that you are solely responsible for any content that you create, transmit, or display while using the Portal. You agree to utilize the services provided by NDDH2024 solely for lawful and appropriate purposes, in alignment with the vision and objectives of NDDH2024, as well as in accordance with the Terms and any applicable policies or guidelines.

 

2.2 You further agree not to engage in any actions or activities that may disrupt the services of the Portal or any associated services or networks. Any behavior that interferes with the normal operation of the Portal or its services, or that of connected or related networks, is strictly prohibited.

 

3. Ownership and Use of Protected Collective Information

3.1 The Portal, its services, and all content, information, and results of collaborative research conducted through NDDH2024, including but not limited to the identification of druggable non-toxic targets, in silico screening of molecules, and tools/algorithms developed to support drug discovery and lead optimization, shall collectively constitute 'Protected Collective Information.' You acknowledge and agree that the ownership of this 'Protected Collective Information' belongs solely to NDDH2024 and constitutes proprietary rights of NDDH2024, subject to use for further development as determined by the organizing committee.

 

3.2 Any attempt to appropriate the Protected Collective Information for the acquisition of proprietary rights is considered a violation of the objectives of NDDH2024 and may result in legal action under applicable laws.

 

3.3 Participants are expected to strictly adhere to timelines and deadlines throughout the multi-phase competition. No exceptions will be considered.

 

3.4 The parameters and evaluation process for entries submitted by participants will be determined by a separate Evaluation Committee chaired by an eminent expert. The decisions of the Evaluation Committee regarding the results of NDDH2024 will be final and binding on all participants, with no further representations entertained.

 

3.5 By using the NDDH2024 Portal, you agree that any information submitted by you or generated using the Portal shall become part of the Protected Collective Information, to be shared and utilized by the NDDH2024 Organizing Committee for the advancement of its objectives. You authorize the NDDH2024 Organizing Committee to take any action in furtherance of the vision of NDDH2024, with such actions communicated to members through the Portal.

 

3.6 You acknowledge that the Protected Collective Information is a valuable proprietary right of NDDH2024, and NDDH2024 reserves the right to work on submitted ideas, concepts, or tools for further development.

 

3.7 You hereby assign to NDDH2024 a worldwide, royalty-free, non-exclusive license on any information submitted by you to the Protected Collective Information, solely for the purpose of furthering the vision and mission of NDDH2024.

 

3.8 In the event that you acquire any intellectual property rights through improvements or modifications to any part of the Protected Collective Information, you agree to grant NDDH2020 an unencumbered worldwide, non-exclusive right to use such rights for further research in alignment with its Vision and Mission.

3.9 You consent to NDDH2024, licensing any research results generated from NDDH2024 for the sole purpose of advancing the Vision and Mission of NDDH2024, provided that there is no direct monetary gain or other benefit from such assignment.

 

4. Access and Contributions

4.1 You are granted access to the Protected Collective Information released by the Organizing Committee for NDDH2024 purposes only. You may contribute to the Protected Collective Information and receive credit for your contributions, without being held responsible for modifications made by others.

 

4.2 You have the right to make improvements, additions, and modifications to the Protected Collective Information, and utilize it for commercial or non-commercial purposes. However, you must contribute all such improvements, additions, and modifications back to the Protected Collective Information.

 

4.3 You may submit your patented inventions for use in NDDH2024. While you retain rights over the patents, except to the extent necessary for use in the open-source drug discovery process and for selling any product or process arising from the use of your invention in that process, you agree not to place any encumbrances on the product or process arising from the use of your patented invention for fulfilling the Vision and Mission of NDDH2024. Any use of your patented invention for the drug discovery process and any information generated from the use of your patented invention for the drug discovery process in NDDH2024 shall belong to the Protected Collective Information.

 

4.4 You may utilize your patented invention or technology kept as a trade secret to generate information for NDDH2024 without licensing, disclosing, or parting with such invention or technology. However, you must submit the information generated to NDDH2024 to be included as part of the Protected Collective Information.

 

5. Intellectual Property Rights

5.1 NDDH2024 upholds the Intellectual Property Rights (IPR) of all parties and expects its members to refrain from infringing upon the IPR of any third party contributing to the Protected Collective Information or participating in the drug discovery process. Should any infringing material be identified on the Portal, it should first be brought to the attention of the discussion forum for appropriate action. In the event of infringing materials being posted online, the administrator reserves the right to promptly remove or take down such content without prior notice.

 

5.2 All copyrighted software programs, codes must have open source accessibility. This entails that the source code is openly available.

 

5.3 You agree not to engage in any activities intended to compromise the integrity or security of the Portal. This includes, but is not limited to, knowingly introducing viruses or engaging in actions that may deface or disrupt the functionality of the Portal. You shall bear all costs and consequences arising from any such actions associated with your account.

 

5.4 By agreeing to these Terms, you agree to indemnify NDDH2024 against all legal fees, damages, and other expenses incurred as a result of your breach of the Terms.

 

5.5 These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be exclusively subject to the jurisdiction of the High Court of Delhi, India.

 

6. Indemnity

6.1 You agree to hold harmless and indemnify NDDH2024 from and against any third-party claim arising from or in any way related to your use of NDDH2024, the Portal, and/or services offered by it, violation of the Terms, or any other actions connected with the use of NDDH2024 services. This includes any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorneys' fees, of every kind and nature.

 

6.2 You agree that you are solely responsible for all content posted by you on the Portal and indemnify NDDH2024 from any third-party claim relating to Intellectual Property or any other rights.

 

7. Disclaimer of Warranties:

7.1 Portal Information and Services:

While this Portal has been designed in good faith for the NDDH2024 team, no representation is made or warranty given, either express or implied, as to the completeness or accuracy of the information contained therein.

 

7.2 Any material downloaded or otherwise obtained through the use of NDDH2024 services is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.

 

7.3 By accessing this site, you agree that NDDH2024 will not be liable for any direct or indirect loss arising from the use of the Protected Collective Information or other material contained in the Portal. The Protected Collective Information available on this Portal belongs to and remains solely with NDDH2024.

 

7.5 No advice or information, whether oral or written, obtained by you from NDDH2024 or through or from NDDH2024 services, shall create any warranty not expressly stated in the terms.

 

8. Limitations of Liability:

You expressly understand and agree that NDDH2024 shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if NDDH2024 has been advised of the possibility of such damages), resulting from:

(i) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from NDDH2024 services;

(ii) unauthorized access to or alteration of your transmissions or data;

(iii) statements or conduct of any third party on NDDH2024 services; or

(iv) any other matter relating to NDDH2024 services.

 

9. No Third Party Beneficiaries:

You agree that, except as otherwise expressly provided in the Terms, there shall be no third-party beneficiaries to the Terms.

 

10. Notice:

You agree that NDDH2024 may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on NDDH2024 services.

 

11. General Information: Entire Agreement:

The Terms (including any policies, guidelines, or amendments that may be presented to you from time to time such as Program Policies and Legal Notices) constitute the entire agreement between you and NDDH2024 and govern your use of NDDH2024 services, superseding any prior agreements between you and NDDH2024 for the use of NDDH2024 services.

12. Waiver and Severability of Terms:

The failure of NDDH2024 to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

 

13. Statute of Limitations:

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of NDDH2024 services or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
